Xxxxxx Xxx Consent. Xxxxxx Xxx hereby consents, subject to the terms and conditions of this Acknowledgment Agreement, to Issuer’s grant or assignment of the Security Interest to Secured Party. No further grant or assignment of a security interest in the Servicing Rights is permitted.
Xxxxxx Xxx Consent. The purchase and sale of the Servicing Rights pursuant to the Transaction are subject to approval by the Xxxxxx Xxx. Seller shall use commercially reasonable efforts to obtain the Xxxxxx Xxx Consent promptly prior to the Sale Date, and Purchaser shall cooperate with Seller in obtaining the Xxxxxx Xxx Consent. Upon receipt of the Xxxxxx Xxx Consent, Seller shall deliver to Purchaser by electronic mail, a copy of each such Xxxxxx Xxx Consent. Purchaser shall pay any and all costs of securing the Xxxxxx Xxx Consent for the Transaction, including fees to the Xxxxxx Xxx for the transfer of the Servicing Rights in accordance with Applicable Requirements.
