When reference is made herein to "the business of" an Entity, such reference shall be deemed to include the business of all direct and indirect Subsidiaries of such Entity. Reference to the Subsidiaries of an Entity shall be deemed to include all direct and indirect Subsidiaries of such Entity.

Any agreement, instrument or statute defined or referred to herein or in any agreement or instrument that is referred to herein means such agreement, instrument or statute as from time to time amended, modified or supplemented, including (in the case of agreements or instruments) by waiver or consent and (in the case of statutes) by succession of comparable successor statutes and references to all attachments thereto and instruments incorporated therein. References to a Person are also to its permitted successors and assigns.

For the purposes of this Agreement, "Material Adverse Effect" with respect to any party hereto means any event, change, circumstance, effect or state of facts that (a) is a material adverse effect on the business, results of operations or financial condition of such party hereto and its subsidiaries taken as a whole, other than any event, change, circumstance, effect or state of facts that results from or arises out of (i) any outbreak of hostilities, terrorism or war or (ii) changes in general economic, regulatory or political conditions or conditions in the United States or worldwide capital markets; or (b) has a material adverse effect on its ability to consummate the transactions contemplated by this Agreement. For purposes of this Agreement, a "subsidiary," when used with respect to any party hereto, means any entity of which securities or other ownership interests having ordinary voting power to elect a majority of the board of directors or other persons performing similar functions are directly or indirectly owned by such party. Information disclosed in one section of the Kroll Disclosure Schedule shall be integrated into another section of the Kroll Disclosure Schedule without the necessity of a cross-reference to the extent its applicability thereto is readily apparent.

No provision of this Agreement shall be construed to require Bank the Stockholders or any of their respective Subsidiaries or affiliates to take any action which would violate any applicable law (whether statutory or common), rule or regulation.

No provision of this Agreement shall be construed to require VLI or KSL or any of their respective Subsidiaries or Affiliates to take or omit to take any action if doing so would violate any applicable obligation (arising in law or equity), rule or regulation.
