For the purposes of this Agreement, "Material Adverse Effect" with respect to any party hereto means any event, change, circumstance, effect or state of facts that (a) is a material adverse effect on the business, results of operations or financial condition of such party hereto and its subsidiaries taken as a whole, other than any event, change, circumstance, effect or state of facts that results from or arises out of (i) any outbreak of hostilities, terrorism or war or (ii) changes in general economic, regulatory or political conditions or conditions in the United States or worldwide capital markets; or (b) has a material adverse effect on its ability to consummate the transactions contemplated by this Agreement. For purposes of this Agreement, a "subsidiary," when used with respect to any party hereto, means any entity of which securities or other ownership interests having ordinary voting power to elect a majority of the board of directors or other persons performing similar functions are directly or indirectly owned by such party. Information disclosed in one section of the Kroll Disclosure Schedule shall be integrated into another section of the Kroll Disclosure Schedule without the necessity of a cross-reference to the extent its applicability thereto is readily apparent.
