Xxxxxx’x Sales Efforts. During the Term of this Agreement, Abbott shall use Commercially Reasonable Efforts to promote, market, sell and distribute Products throughout the Territory. Such efforts may include preparing collateral marketing materials, conducting advertising, presenting educational seminars, detailing, displaying exhibits at trade shows and ensuring representation and attendance at industry meetings, all of which shall be performed in accordance with Xxxxxx’x usual and customary practices that Abbott would use for Xxxxxx’x products of a similar nature. Abbott solely shall be responsible for the costs incurred in such efforts hereunder. As part of its promotion and marketing efforts, Abbott may elect to offer Products to potential customers at no charge for evaluation purposes, which Products shall not be subject to Section 3.1 or reported pursuant to Section 3.7.
