The Compensation Committee of Xxxxxxx may determine future eligibility for Xxxxxxx Group employees under any Xxxxxxx incentive plans including share schemes and may delegate authority to others for these purposes. Awards granted under the PPM America, Inc. Performance Incentive Award Plan (the “PIAP”) will not vest on the Demerger, will not be exchanged and will continue on their original terms including the terms relating to performance conditions, vesting and holding periods and the application of malus and/or clawback.
