GOVERNING LAW AND SERVICE OF PROCESS. This Agreement is made in the State of Ohio and the validity, construction, interpretation and enforcement of this Agreement, and the rights of the parties thereunder shall be determined under, governed by and construed in accordance with the internal laws of the State of Ohio, without regard to principles of conflicts of law. Service of process, sufficient for personal jurisdiction in any action against the Company, may be made by registered or certified mail, return receipt requested, to the address set forth in Paragraph 25 hereof.
GOVERNING LAW AND SERVICE OF PROCESS. 29.1 Except as expressly set forth herein, this Agreement is to be governed by and construed in accordance with English law. Any matter, claim or dispute arising out of or in connection with this Agreement, whether contractual or non-contractual, is to be governed by and determined in accordance with English law, except as expressly set forth herein.
29.2 Without limiting clause 17 (Dispute Resolution), the courts of England are to have exclusive jurisdiction to settle any dispute, whether contractual or non-contractual, arising out of or in connection with this Agreement. Any proceedings, suits or actions arising out of or in connection with this Agreement may be brought in English courts.
29.3 Xxxxxxx irrevocably appoints CT Corporation c/o TRIDENT COMPANY SERVICES (UK) LIMITED of 00 Xxxxxxxx Xxxxx, Xxxxxx, X0X 0XX to be its agent for service of process and agrees that any document may be effectively served on it in connection with proceedings in England and Wales by service on its agent effected in any manner permitted by the Civil Procedure Rules. A copy will be delivered to Xxxxxxx in accordance with clause 25 (Notices), provided that this requirement does not affect the validity of the appointment of Xxxxxxx’x agent for service of process or the validity of service on that agent.
29.4 If the agent at any time ceases for any reason to act as such, Xxxxxxx shall appoint a replacement agent having an address for service in England or Wales and shall notify Prudential of the name and address of the replacement agent. Failing such appointment and notification, Prudential shall be entitled by notice to Xxxxxxx to appoint a replacement agent to act on behalf of Xxxxxxx. The provisions of this clause 29 applying to service on an agent apply equally to service on a replacement agent.
GOVERNING LAW AND SERVICE OF PROCESS. 13.1 This Agreement is subject to and shall be interpreted in accordance with the laws of the State of Israel.
13.2 For the purposes of any claim under this Agreement, the addresses of the Selling Shareholders for the purposes of service of process shall be their addresses as set forth in the first column of Exhibit 1, or such other address as any Selling Shareholder shall notify the Purchaser in writing.
GOVERNING LAW AND SERVICE OF PROCESS. 12.1 This Agreement is governed by, and shall be construed in accordance with, laws in the State of Nevada of the United States.
12.2 The Seller hereby irrevocably shall appoint an agent to accept service of legal process on its behalf. The Seller irrevocably agrees that if its process agent ceases to have an address in the United States or ceases to act as its process agent, it shall appoint a new process agent acceptable to the other Parties and shall deliver to each of the other Parties within 14 days a copy of written acceptance of appointment by the new process agent.
12.3 The Purchaser hereby irrevocably appoints the Law Offices of Xxxxx X. Xxxxx of 00000 Xxxxxxxx Xxxxxx, Xxxxxxxxx, Xxxxxxxx 00000 U.S.A as its agent to accept service of legal process on its behalf. The Purchaser irrevocably agrees that if its process agent ceases to have an address in the United States or ceases to act as its process agent, it shall appoint a new process agent acceptable to the other Parties and shall deliver to each of the other Parties within 14 days a copy of written acceptance of appointment by the new process agent. GOVERNING LAW AND SERVICE OF PROCESS. 4.1 This Agreement has been entered into and shall be construed and enforced in accordance with the laws of the State of Florida without reference to the choice of law principles thereof. This Agreement shall be subject to the exclusive jurisdiction of the federal or state courts of the State of Florida located in Broward County, Florida. The parties to this Agreement agree that any and all causes of action or claims arising out of or relating to this Agreement shall be governed by and construed in accordance with the laws of the State of Florida and irrevocably and expressly agree to submit to the jurisdiction of the courts of the State of Florida for the purpose of resolving any and all disputes relating to this Agreement.
4.2 The parties irrevocably waive, to the fullest extent permitted by law, any objection which they may now or hereafter have to the laying of venue of any suit, action or proceeding arising out of or relating to this Agreement, or any judgment or permanent or temporary injunction entered by any court in respect hereof brought in Broward County, Florida, and further irrevocably waive any claim that any suit, action or proceeding brought in Broward County, Florida has been brought in an inconvenient forum. This provision shall not prevent the Company from seeking to enforce this Agreement in any court of competent jurisdiction. The Executive agrees that service of process may be effected by certified mail of by any other means permitted by law, and the Executive waives any objection which he may have to the laying of venue of any such suit, action or proceeding in any such court and any claim or defense of inconvenient forum.

This Agreement shall be governed by the laws of the State of New York applicable to agreements made and to be performed entirely in New York, without regard to principles of conflicts of law or choice of law. Carmel and CSK each irrevocably consents to the jurisdiction and venue of any state or federal court situated in the City of New York, waives any objection or defense to any such jurisdiction or venue as an inconvenient forum, and consents to the service of any and all process in any action or proceeding arising out of or relating to this Agreement by the mailing of copies of such process to the other party at its address designated by such party in accordance with Section 10.

Each of the parties irrevocably attorns to the jurisdiction of the courts of the Province of British Columbia. The Company hereby irrevocably appoints Blake, Xxxxxxx & Xxxxxxx LLP as its agent for service of process in Canada in respect of such action or proceeding relating to the transactions contemplated by this Agreement and further irrevocably consents to the service of process by the mailing of copies thereof by registered or certified mail, postage prepaid, to Cassels, Blake, Xxxxxxx & Xxxxxxx LLP at its address for notices as set forth in subsection 19(a) of this Agreement, such service to become effective 10 days after such mailing. Nothing herein shall affect the right of the Underwriters to service of process in any other manner permitted by law.
GOVERNING LAW AND SERVICE OF PROCESS. This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario and the laws of Canada applicable therein. Each of the parties irrevocably attorns to the non- exclusive jurisdiction of the courts of the Province of Ontario.
GOVERNING LAW AND SERVICE OF PROCESS. 15.1 This Agreement shall be governed by and construed in accordance with English Law and the parties hereby irrevocably submit to the exclusive jurisdiction of the English courts in connection with any matter arising therefrom.
15.2 The Company and each of the Directors irrevocably appoint Field Xxxxxx Xxxxxxxxxx, 00 Xxxx Xxxxxx, Xxxxxx XX0X 0XX as their process agent to receive on their behalf service of any process in any proceedings in England. Such service shall be deemed completed on delivery to Field Xxxxxx Waterhouse, marked for the attention of Xxxxxxx Xxxxxxxxx (whether or not such process is forwarded to and received by the Company or the appropriate Director (as the case may be). If for any reason either such process agent ceases to be able or willing to act as process agent, the Company and each of the Directors irrevocably agree to appoint a substitute process agent acceptable to Canaccord and to deliver to Canaccord a copy of the new process agent's acceptance of that appointment within 30 days of such acceptance.
15.3 The parties irrevocably consent to any process in a legal action or proceedings in connection with this Agreement being served on them in accordance with the provisions of this Agreement relating to the service of notices. Nothing contained in this Agreement shall affect the right to serve process in any other manner permitted by law.
