Common use of Xxxxxxxxx’x Third Party Obligations and Agreement Payments Clause in Contracts

Xxxxxxxxx’x Third Party Obligations and Agreement Payments. Xxxxxxxxx shall be responsible for and pay when due all payments, royalties or milestones owed by Xxxxxxxxx under any agreements entered into by Xxxxxxxxx and any Third Party relating to the Xxxxxxxxx Patents or Product required for the Development, manufacturing, importation, or Commercialization of a Product in the Territory. If Xxxxxxxxx should fail to pay any such amount, Lilly may at its sole option decide to pay any such amount on Xxxxxxxxx’x behalf and to deduct such amount from any milestones or royalties owed to Xxxxxxxxx hereunder without restriction.
