Common use of YOU AGREE TO INDEMNIFY US Clause in Contracts

YOU AGREE TO INDEMNIFY US. You agree continuously to indemnify us against all losses (including consequential losses), taxes, expenses, damages, charges, receipts, demands and expenses of any nature and on any account and liabilities present, future, contingent or otherwise and including legal fees on a full indemnity basis which may be suffered or incurred or brought against us or in connection with or caused by: a. Your breach of this Agreement; b. Us entering into any margin FX contract or CFD; c. Us taking any action under Clause 12 of this Agreement; d. Any representation or warranty given by you being incorrect, misleading or untrue, or any error in any order or instruction which is, or appears to be, from an authorised person, unless and to the extent only such is suffered or incurred as a result of our gross negligence or wilful default.
