Your Duties. Any data, information or message transmitted to you through the System, the Platform or otherwise is confidential and intended for the sole use of the intended recipient. If you are not the intended recipient, you should immediately notify us and delete or destroy such data, information or message, including all copies thereof.
Your Duties. A. You must submit complete and legible claim forms to us and include itemized receipts for veterinary expenses that identify your pet by name.
B. You must provide us with all medical and surgical records relating to any claim under your policy, upon our request. You agree to submit your pet to examination by a veterinarian selected by us, upon our request.
C. You must reasonably protect your pet from aggravation of any condition.
D. Upon payment of benefits, we will be subrogated to your rights of recovery from any other party.
Your Duties a) You will be expected to attend (either in person or by teleconference) all regular meetings of the Board, of which we expect to hold approximately four to six per annum, as well as to attend (either in person or by teleconference), if feasible, any special meetings of the Board and to sign all written consents if you deem appropriate. In addition, you will be expected to perform such other duties as are reasonably contemplated by your holding office as a director of the Company or which may reasonably be assigned to you by the Board from time to time, including Committee(s) membership.
b) As a director you will at all times act as a fiduciary in the service of the best interests of the Company. In addition, you agree to (i) provide all information regarding yourself as the Company requires to satisfy its disclosure obligations under applicable securities laws; and (ii) timely file with the Securities and Exchange Commission all reports and schedules required of you in your personal capacity by virtue of your relationship with the Company (e.g., Forms 3, 4 and 5 as contemplated by Section 16(a) of the Securities Exchange Act of 1934).
c) As you will appreciate, your time commitment will ultimately be a function of the matters confronting the Company from time to time and matters properly requiring your attention as a director of the Company.
d) You shall comply with all the fiduciary-duty obligations of a director as imposed by Delaware law. Without limitation, you specifically agree not to, during the time of your service on the Company’s Board, serve as a director of or a consultant to any of the companies listed on Exhibit A hereto. Subject to your fiduciary-duty obligations as a director as imposed by Delaware law, this Letter does not otherwise restrict you from accepting appointment as a director of any other company, providing consulting services, becoming employed by or engaging in any other business or other activity whatsoever.
Your Duties. You must pay for and replace batteries as needed, unless the law provides otherwise. We may re- place dead or missing batteries at your expense, with- out prior notice to you. You must immediately report alarm or detector malfunctions to us. Neither you nor others may disable alarms or detectors. If you damage or disable the smoke alarm, or remove a battery with- out replacing it with a working battery, you may be li- able to us under Texas Property Code sec. 92.2611 for
Your Duties. 1.1 You shall comply with all (i) federal, state, and local laws, regulations and rules applicable to your solicitation of insurance products of the Carriers, and (ii) all rules, policies, procedures and standards which are provided to you by us or by any Carrier. You shall notify us immediately if you fail to comply with (i) or (ii) above, and if you fail to comply with
1.1.1 You shall hold the appropriate insurance license(s) in the state of solicitation and in the state where the application is signed prior to submitting an application for insurance to any Carrier. You shall be solely responsible for securing and maintaining your license(s).
1.1.2 You shall complete any pre-contracting or appointment related paperwork with any Carrier prior to soliciting the sale of any product by a Carrier, if required.
1.1.3 You shall not alter, modify, waive, or amend any of the terms, rates or conditions of any advertisement, brochures, applications, policies, contracts, or other materials provided to you by us or any Carrier unless submitted and approved in writing by us or the Carrier. You shall not create any materials that reference us or any Carrier unless submitted to and approved in writing by us or the Carrier.
1.2 If you are an agency or business entity, you are responsible for the acts or omissions of your sub producers. Therefore, you must train and supervise them appropriately. They do not have any authority not granted to you. Whatever is required of you is also required of them. We reserve the right to require that each of them execute an Independent Producer Contract or similar document prior to acting through you in connection with the subject matter of this Contract.
1.3 You certify that you have never been convicted of a federal or state felony involving dishonesty or breach of trust; or if so, that you have received written authorization from the applicable state insurance commissioner specifically referencing Section 1033 of the violent Crime Control and Law Enforcement Act of 1994, subsection (3) (2) granting permission to work in the insurance industry. During the term of this Contract, you must notify us if you are convicted of any felony.
1.4 You will use your best efforts to place the sale of insurance product for the Carriers.
1.5 During the term of this Contract (and if the coverage is provided on a “claims made” basis, for a period of four (4) years after termination of this Contract), you shall procure and maintain, at your sole expense,...
Your Duties. 3.1 You agree to:
3.1.1 carry out your duties under this Agreement (to avoid doubt, including those set out in any User Guide which is a legally binding document forming part of this Agreement);
3.1.2 allow us and each of our employees, contractors and agents to enter your premises safely to provide the Products, and pay us for any costs (including legal costs) expenses, claims, losses, damages and awards we have to pay if you do not; and
3.1.3 give us the minimum mail volumes or spend level for each Product, as set out in the Additional Terms.
3.2 You must meet all requirements relating to forecasting as set out in the relevant User Guide(s) and, if you fail to then you will be in breach of this Agreement.
3.3 You must notify us at least 4 weeks before the date of Posting if you want to send an Exceptional Posting. If we receive such notice then we shall use reasonable endeavours to perform our obligations in accordance with this Agreement in relation to such Exceptional Posting. If despite having used such reasonable endeavours we are unable to meet any of our obligations then we shall not be liable to you.
3.4 In each Posting, you must:
3.4.1 only include Items you want us to handle under the Specific Terms for that individual Product and you must not mix together Items to be dealt with under different Specific Terms;
3.4.2 present Items in line with the applicable Additional Terms (including but not limited to the applicable User Guide(s));
3.4.3 ensure the outside of each Item bears a clear, complete and accurate address, including a postcode; and
3.4.4 provide all bundling materials, such as rubber bands, strapping and bundling ties.
3.5 If you or your agent hand over a Posting after the Latest Posting Time, we will aim but do not guarantee to process that Posting as if we had received it by the Latest Posting Time, depending on any conditions we believe are reasonable. For all other purposes, we will consider that Posting to have been made on the following Working Day and all the documents that come with that Posting should show (or we may amend to show) the following Working Day.

Your Duties a. You shall solicit and procure applications/order tickets/request forms for the insurance coverage listed in the Schedule(s) of Commissions referred to on the signature page hereof that you are licensed to sell; provided, however, the Company may, in its sole discretion, refuse to accept, or require the amendment of, any application/order ticket/request form.
b. You shall operate your business in strict conformance with all applicable laws, rules and regulations, and in conformity with this Agreement as well as the Company’s rules, policies and procedures. You may not solicit or deliver policy or contract forms in any territory or location which requires regulatory approval of such forms, or in which the Company is not licensed to do business, until such regulatory approval or licensing has been obtained by the Company.
c. You agree to exert your best effort to keep all insurance products produced by you or through agents for whom you are an Appointing Agent under this Agreement (such appointed agents being hereinafter referred to as “subordinate agent(s)”) in full force and effect.
d. You shall conduct business ethically, honestly, fairly and professionally at all times.
e. You agree to be bonded in such manner as the Company may from time to time, and subject to reasonable amendment, require.
f. You agree to be responsible for all taxes, insurance (including, but not limited to, workers’ compensation) and benefits as an independent contractor. Nothing contained in this Agreement shall create, or shall be construed to create, the relationship of a partnership, franchise, joint venture or an employer and employee between the Company and you.
g. You shall be solely responsible for and to any other person(s) you contract with or employ to fulfill your duties under this Agreement.
h. You shall be solely responsible for and pay all expenses incurred by you, including license fees and charges that the Company has not specifically agreed to pay.
i. You shall promptly notify the Company of any written customer complaint that relates to the sale or marketing of the Company’s products, or any activity in connection with or notice of any regulatory investigation, disciplinary action, judicial proceeding and the like involving you or your subordinate agents. You shall, and shall cause subordinate agents to, fully cooperate with the Company during its investigation of any consumer complaint or in connection with any other investigation being conducted by the Company...

If you dam- age or disable the smoke alarm, or remove a bat- tery without replacing it with a working battery, you may be liable to us under Texas Property Code sec. 92.2611 for $100 plus one month’s rent, actual dam- ages, and attorney’s fees. You’ll be liable to us and others if you fail to report malfunctions, or fail to report any loss, damage, or fines resulting from fire, smoke, or water.
