Common use of Your Indemnification Obligations Clause in Contracts

Your Indemnification Obligations. To the extent permitted by applicable law, you agree to indemnify, defend and hold the Custodial Bank Parties harmless from and against any and all losses, liabilities, judgments, arbitration awards, settlements, expenses, damages and costs, including attorneys’ fees and disbursements, as incurred by any of them arising in any manner out of or relating to your use of, or inability to use, the Custodial Services, the Service or Deposit Platform or any breach or alleged breach by you of this Agreement. You shall cooperate with us as fully as reasonably required in the defense of any third-party claim subject to these indemnity provisions. We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. You shall not in any event settle such a matter without our prior written consent.
