Your Personnel. 31.1 You shall not assign, delegate or subcontract any portion of your rights, duties or obligations without the express prior written consent of GE; any actions taken by you in contravention of the foregoing is hereby deemed null and void. Notwithstanding your retention of Your Personnel and any such GE’s consent, you shall remain entirely responsible for your, as well as Your Personnel’s, delivery of all Products, Services and Deliverables, as well as compliance with all terms of this PO. 31.2 GE shall, at all times, have the right to review and approve any of Your Personnel assigned to perform Services, and to reject or have removed immediately any of Your Personnel from the provision of Services hereunder. The exercise of this right shall be independent of any alleged breach by you of this PO. You shall pay the costs of familiarizing any replacements of Your Personnel, and GE agrees that time deadlines and cost estimates, if any, may require adjustment as a result of replacing Your Personnel, unless removal is for good cause. GE may request to interview and approve any of Your Personnel replacements prior to such individual’s commencement of Services for GE; GE’s approval shall not be unreasonably withheld. 31.3 Nothing in this PO shall be interpreted or construed as creating or establishing the relationship of employer and employee between GE and either you or any of Your Personnel. You shall be solely responsible for payment of all compensation owed to Your Personnel, as well as federal and state income tax withholding, social security taxes, and unemployment insurance applicable to Your Personnel as employees, and you shall bear sole responsibility for any health or disability insurance, retirement benefits, or other welfare or pension benefits (if any) to which Your Personnel may be entitled. Neither you nor Your Personnel shall have any right or authority to assume or create any obligation of any kind, expressed or implied, in the name of or on behalf of GE. You are responsible for all employer obligations toward all of Your Personnel under all applicable laws and GE policies. You shall defend, indemnify and hold GE harmless against any claims that in any way (i) assert that any of Your Personnel are employees or joint employee of GE, (ii) relate to the conduct of any of Your Personnel; and/or (iii) pertain to a breach of this PO by any of Your Personnel. 31.4 You shall be responsible for maintaining satisfactory standards of personnel competency,...
Your Personnel. You are solely responsible for all acts and omissions of your officers, directors, partners, employees, agents, representatives, contractors, and third party service providers, including persons granted signature authority on your accounts and personnel who are permitted to initiate and/or give us instructions with respect to your entries (collectively, “Your Personnel”). We are entitled, without further inquiry or investigation, to assume that the actions of Your Personnel are appropriate and authorized by you. This authorization will remain in effect unless we receive written notice to the contrary from you and have had a reasonable opportunity to react thereto. You are strongly advised to establish and maintain policies and procedures and accounting and auditing controls (including separation of duties for statement review and other activities) that will prevent and/or allow the prompt detection of fraud or other unauthorized activity by Your Personnel. As between you and us, you agree to accept sole responsibility for losses attributable to any and all acts and omissions of Your Personnel.
Your Personnel. You must have at least one attendant present at your exhibit at all times during the published exhibit hours to conduct demonstrations and to provide security for your property. You are responsible for all of your personnel; they will not be considered employees, agents or subcontractors of OMG for any purpose whatsoever. While at the Conference, your personnel will be subject to the general rules and regulations of the Conference set by OMG.

Your Personnel. 8.1 You will ensure that all personnel who have access and/or process any of the Personal Data: 8.1.1 are aware both of your duties and obligations, and of their own individual duties and obligations under this Agreement and the Data Protection Legislation; 8.1.2 have been given suitable training on the Data Protection Legislation with respect to the handling of Personal Data and how the Data Protection Legislation applies to their particular duties; and 8.1.3 are contractually obliged to keep the Personal Data confidential. 8.2 You will take reasonable steps to ensure the reliability, integrity, and trustworthiness of all personnel who have access and/or process any of the Personal Data, carrying out background checks permissible by law where appropriate.
Your Personnel. You are responsible for all acts and omissions of Your em- ployees, officers, directors, partners, agents, representatives and contractors, including persons and/or personnel given signature authority on Your accounts and/or are permitted to give Us instructions with respect to transactions (col- lectively “Personnel”). We are entitled, without further inquiry or investigation, to rely that all actions of Your Personnel are appropriate and authorized by You. We strongly advise You to establish and maintain policies, procedures, accounting and auditing controls that will prevent, or allow the early detection of, fraud or other unauthorized activity conducted by Your Personnel. You agree to accept sole responsibility for losses attributable to the acts or omissions of Your Personnel. Your Personnel also includes any third party with which You may have contracted with to support electronic billing and payment functionality for Your customers.
Your Personnel. 6.1 You are responsible for the acts or omissions, or the goods or services provided by, your employees, contractors, invitees or others engaged by you (Your Personnel), and you agree to ensure they cooperate with us and do not interfere with our supply of the Goods and Services. 6.2 You agree that any works, goods or services provided by you or Your Personnel (Your Items) will be: (a) provided solely at your own risk, and you agree that we will assume no responsibility or Liability for Your Items; (b) provided with due care, skill and diligence; (c) sufficient to enable us to comply with our obligations under these Terms and all applicable laws; (d) provided in a proper and professional manner, and in accordance with best industry practice; and (e) in accordance with our reasonable instructions or requirements.
Your Personnel. You acknowledge and agree that you are fully responsible for the acts and omissions of your personnel, and accordingly that where the work order: • imposes an obligation on your personnel, you are fully responsible for the performance by those personnel of such obligations; and • prohibits an act by you, the performance of that act by any of your personnel will be deemed to be a performance of that act by you. You must ensure that your personnel: • are given full details of the deliverables to be carried out by them; • are aware of, and comply with, your obligations in providing the deliverables; • have the requisite skills and experience to undertake the deliverables; • apply an appropriate level of professional skill and judgment as may be expected of an information technology specialist performing similar deliverables; • provide such reasonable assistance to other service providers as the buyer may request from time to time; and • cooperate with any third party service provider appointed by the buyer when this is necessary to ensure the integrated and efficient conduct of the buyer's operations.
