You must. A. make sure that anything you do under this Contract complies with all applicable laws;
B. promptly notify us if you become aware of any unauthorised propagation, production, reproduction, sale or use of any grain or fodder; and
C. if you plan to sell any property on which Seed or Retained Seed has been planted:
1. notify us and provide details of the purchaser;
2. make sure that it is a condition of sale that the purchaser takes over your obligations under this Contract; and
3. pay or have paid all EPRs due on any Harvested Material that is on the property at the date of sale.
You must. A. keep records in sufficient detail to enable all EPRs to be easily and accurately determined;
B. within 30 days after receiving a request from us, make those records available to us or an auditor appointed by us;
C. upon giving reasonable notice permit Us or any agent nominated by Us to enter the Grower's premises or any premises under the Grower's control during normal business hours to inspect and audit all relevant records, and pay all audit fees (on an indemnity basis) where the audit report indicates that You have underpaid, under-estimated or under-calculated any amount due as EPRs by more than five per cent (5%) and also pay the full amount of any shortfall (inclusive of any GST or other taxes owing on such amount).; and
D. keep the records for 7 years from the date you Sell any Harvested Material.
You must a) keep records in sufficient detail to enable all EPRs to be easily and accurately determined;
b) within 30 days after receiving a request from us, make those records available to us or an auditor appointed by us;
c) pay our costs of any audit that shows you have underpaid us by more than 5% and make up the shortfall; and
d) keep the records for 7 years from the date you Sell any Harvested Material.
You must. (i) comply with the Rules of Occupation as set out in Annexure A including not breaching Rule 8 (Smoking), Rule 9 (Drugs), Rule 10 (Alcohol) or Rule 11 (Weapons);
(ii) not create any noise in or around the Room that is likely to interfere with the peaceful enjoyment of the Your neighbours or any other person using the Room, the Building and its surrounds;
(iii) not threaten, abuse, intimidate or harass any member of UNSW staff, Your neighbours, tradesmen or co-occupant(s); and
(iv) obey all laws relating to residing in and using the Room and Building, comply with any lawful notice issued by any authority relating to the Room and Building and will notify Us immediately of any notice received.
You must. 19.4.1 inform the College promptly of any changes in your contact details; and
19.4.2 check your College and University e-mail accounts regularly (at least once per day). Neither the College nor the University is responsible if you fail to read notices sent to you in accordance with this paragraph 19.
You must. (a) keep the Vehicle locked when not in use and keep the keys in Your possession; and
(b) take reasonable care of the Vehicle and drive the Vehicle in a safe and legal manner.
You must.
(a) only use the fuel type specified by the manufacturer of the Vehicle; and
(b) not use any bio-diesel, ethanol or any organic hybrid fuel (except for E10, which is acceptable).
You must. (a) keep to this Agreement and any other agreement you have with us;
(b) pay us in full and on time for the whole of the Minimum Period of hire and during any renewal period. Time is of the essence in respect of all your payments (including VAT) under this Agreement;
(c) during any intervening period from the signature by you of a new agreement for new products to replace some or all of the Equipment and until the new agreement commences, continue to pay the Rentals due to us under this Agreement. This Agreement will terminate when the new agreement starts;
(d) take care of the Equipment, keep the Equipment in your possession and under your control and keep them in good working order;
(e) insure the Equipment for their full replacement value and against third party liability relating to them and provide us with evidence of the insurance, see Clause 10;
(f) pay us the full replacement costs for any Equipment you lose;
(g) use the Equipment only in accordance with the manufacturer’s instructions;
(h) tell us in writing within or change in your address;
(i) pay us for any necessary Statutory alterations or modifications we have to make to the Equipment;
(j) Indemnify us and keep us indemnified against any loss, damage, expense or injury arising directly or indirectly out of your use of the Equipment other than in accordance with our operating instructions or out of any cause beyond our reasonable control.
You must. (a) only use the Mobile Authenticator App, and procure that the use by any Authorised Representatives shall be, in accordance with the terms of the Agreement, and the end user licence agreement, as annexed to this Schedule, and as may be amended or presented to Authorised Representatives from time to time (the "Mobile Authenticator App Terms");
(b) only allow your Authorised Representatives to use the Mobile Authenticator App, and procure that they do so solely in connection with the administration of the Services for your business purposes;
(c) have provided the Bank with accurate, current and complete details of Authorised Representatives as that are necessary for the Bank to provide the Mobile Authenticator App, and you shall keep such information accurate, current and complete;
(d) comply with, and procure that the Authorised Representatives comply with, the terms of the Agreement and the Mobile Authenticator App Terms;
(e) implement and maintain procedures to ensure that you are able to monitor compliance with the terms of the Agreement and the Mobile Authenticator App Terms;
(f) only use the Mobile Authenticator App, and procure that use by any Authorised Representatives shall be, in compliance with all applicable laws, including any consumer, data protection, data privacy and export control laws; and
(g) update or procure the update of the operating systems of Licensed Equipment if advised by the Bank that this is necessary for security reasons.
You must. 9.2.1 give Us (and the contractors acting on Our behalf) access to Your Property during the agreed working hours throughout the working period; AND
9.2.2 keep the working areas at Your Property sufficiently clear of obstructions to allow Us (and the contractors acting on Our behalf) to carry out Our Connection Works; AND
9.2.3 allow Us (and the contractors acting on Our behalf) to carry out Our Connection Works at the times requested; AND
9.2.4 take notice of all warnings We (or the contractor acting on Our behalf) gives about any health and safety or environmental risks; AND
9.2.5 not knowingly allow any person on Your Property to take risks or be exposed to dangers of Our Connection Works.
