Dear Stig: On April 3, 1997, you and Industri-Matematik International Corp. ("IMIC") entered into an amended and restated Employment Agreement effective as of May 1, 1996 ("Employment Agreement"). [All capitalized terms not defined herein have the meanings ascribed to them in the Employment Agreement.] The purpose of this letter is to set forth agreed changes in our respective obligations in the event of a Change of Control Event. We have agreed as follows: 1.A.
