AGREEMENT AND PLAN OF MERGER, dated as of June 8, 2010, by and among TEOCO Corporation, a Delaware corporation ("Parent"), TEOCO Israel Ltd., an Israeli company and a wholly owned subsidiary of Parent ("Merger Sub"), and TTI Team Telecom International Ltd., an Israeli company (the "Company"). Parent, Merger Sub and the Company are each referred to herein as a "Party" and, collectively, as the "Parties".

WHEREAS, the Tenant leases from the Landlord a unit located in a building located on property owned by the Landlord since February 1, 1998, pursuant to the Principles of Lease Agreement dated February 1, 1998 (this agreement together with the notice of First Expansion (as defined below) and the Second Expansion (as defined below) are hereafter referred to as: the “Lease Agreement”). The Principles of Lease Agreement is attached hereto as Annex A;

Whereas The lessee has actively rented from the lessor the unit that is found in the property owned by the lessor, as of 1 February 1998, according to the principle renting agreement as of 1 February 1998 (this contract, together with the announcement of the first expansion (as defined hereinafter), the second expansion (as defined hereinafter) and the modification to the agreement (found hereinafter) will be called hereinafter: “the rental agreement”). The principle rental agreement is attached to this agreement as Appendix A.

has received and is about to receive, from time to time, credit, documentary credit, various loans, overdrafts in a checking account, a debit account or another account, any kind of letters of indemnification and guarantees for the Pledger or for others at the Pledger’s request, note discounts, various extensions and banking relief and other miscellaneous banking services (hereinafter, jointly and severally, “Banking Services”), from Bank Hapoalim B.M. (hereinafter: the “Bank”), pursuant to the terms agreed upon and/or to be agreed upon from time to time with regard to each such Banking Service;
