THIS LOAN AGREEMENT ("Agreement") is made as of this 1st day of October, 2002, by and among MRG ENTERTAINMENT, LLC, a Kansas limited liability company, with its principal office at 5425 Martindale, Suite 100, Shawnee, Kansas 66218 ("Lender"), and International Thunderbird Gaming Corporation, a Canadian corporation with its principal office 16885 West Bernardo Drive, Suite 100, San Diego, California ("Borrower").
