AMENDMENT NO. 1 dated as of June , 2007 (the "Amendment") to the Amended and Restated Deposit Agreement dated as of September 18, 2006 (the "Deposit Agreement"), among EDP- ENERGIAS DE PORTUGAL, S.A., a corporation organized under the laws of the Republic of Portugal (the "Company"), Deutsche Bank Trust Company Americas, as depositary (the "Depositary"), and all Holders and Beneficial Owners from time to time of American Depositary Receipts ("ADRs") issued thereunder.

WHEREAS, the Company has established an American depositary receipt facility to provide for the deposit of the Shares and the creation of ADSs representing the Shares so deposited pursuant to the Deposit Agreement, dated as of June 16, 1997 in relation to the American depositary receipt program (the “Old Deposit Agreement”), by and among the Company, Citibank, N.A. and all holders and beneficial owners from time to time of American depositary receipts (“Old Receipts”) issued thereunder;
