First Alliance Mortgage Company in its capacities as seller (the "Seller") and as servicer (the "Servicer") and First Alliance Mortgage Loan Trust 1998-1F, as the "Purchaser", pursuant to the Sale and Servicing Agreement dated as of March 1, 1998, (the "Sale and Servicing Agreement") among the Seller, the Servicer, the Purchaser and The Chase Manhattan Bank, a New York banking corporation, in its capacity as Indenture Trustee (the "Indenture Trustee"), hereby confirm their understanding with respect to the sale by the Seller and the purchase by the Purchaser of those Mortgage Loans (the "Subsequent Mortgage Loans") listed on the attached Schedule of Mortgage Loans.
