This Termination Agreement (this “Agreement”), is made, entered into and effective as of October 31, 2014, by and between American International Group, Inc., a corporation organized under the laws of the State of Delaware (“AIG”), and American General Life Insurance Company, a corporation organized under the laws of the State of Texas (the “Company”). The Company and AIG are collectively referred to herein as the “Parties” and each, as a “Party”.

Pursuant to paragraph 5(c) of that certain Agreement dated as of January 4, 1999 (the "AGREEMENT") between American International Group, Inc., a corporation organized under the laws of the State of Delaware ("AIG"), and SunAmerica Annuity and Life Assurance Company (formerly known as "Anchor National Life Insurance Company"), an Arizona corporation, a copy of which is attached hereto as Exhibit 1, AIG hereby provides notice of termination of the Agreement to be effective on April 24, 2011.

Franklin Templeton Variable Insurance Products Trust (the “Trust”), Franklin/Templeton Distributors, Inc. (the “Underwriter,” and together with the Trust, “we” or “us”), American General Life Insurance Company (successor of “SunAmerica Annuity and Life Assurance Company”), and AIG Capital Services, Inc., your distributor (collectively, the “Company”, “you” or “your”), on your behalf and on behalf of certain Accounts, (individually a “Party”, collectively, the “Parties”) have previously entered into a Participation Agreement dated February 4, 2008 and subsequently amended October 11, 2010, October 10, 2012 by consent, September 10, 2014, and further modified by an addendum dated May 1, 2011 (the “Agreement”). The Parties now desire to amend the Agreement by this amendment (the “Amendment”).
