THIS STOCK PURCHASE AGREEMENT (the “Agreement”) is dated effective as of June 7, 2002, by and between Enova Systems, Inc., a California corporation (the “Corporation”) and the investor whose name is set forth on the signature page attached hereto (the “Investor”).

THIS REGISTRATION RIGHTS AGREEMENT (this “Agreement”) is dated effective as of June 7, 2002 (the “Effective Date”) by and among (i) the holders of certain common stock of the Company listed on Exhibit A attached hereto who are parties along with the Company to that certain Stock Purchase Agreement (or counterparts thereto) (the “Original Holders”) dated as of the Effective Date (the “Stock Purchase Agreement”), and each other Person (defined below) who becomes a party to this Agreement pursuant to Section 8(a) hereof (each such Original Holder and other Person, a “Holder” and, collectively, the “Holders”) and (ii) Enova Systems, Inc., a California corporation (the “Company”).
