This Registration Rights Agreement (this “Agreement”) is made and entered into as of December 17, 2002 by and among Insight Midwest, L.P., a Delaware limited partnership (the “Company”), Insight Capital, Inc., a Delaware corporation (together with the Company, the “Issuers”), and Credit Suisse First Boston Corporation, Banc of America Securities LLC, BNY Capital Markets, Inc., Morgan Stanley & Co. Incorporated, J.P. Morgan Securities Inc., TD Securities (USA) Inc., Fleet Securities, Inc., Suntrust Capital Markets, Inc., BNP Paribas Securities Corporation and UBS Warburg LLC (each an “Initial Purchaser” and, collectively, the “Initial Purchasers”), each of whom has agreed to purchase the Issuers’ 9¾% Series A Senior Notes due 2009 (the “Series A Notes”) pursuant to the Purchase Agreement (as defined below).
