TRUST AGREEMENT, dated as of May 1, 2001, between Delta Financial Corporation, a Delaware corporation, as Sponsor (the “Sponsor”), and Wilmington Trust Company, a Delaware banking corporation, not in its individual capacity but solely as Trustee (the “Trustee”).
