This Agreement is made pursuant to the Purchase Agreement dated as of May 17, 2004, among the Operating Partnership, FelCor, the Subsidiary Guarantors and the Initial Purchaser (the “Purchase Agreement”), which provides for the sale by the Operating Partnership to the Initial Purchaser of $175,000,000 aggregate principal amount of Senior Floating Rate Notes due 2011 of the Operating Partnership (the “Notes”) to be issued pursuant to the Indenture (as defined below). The Notes will be guaranteed by FelCor and the Subsidiary Guarantors (as defined below) so long as they are obligors on other indebtedness of FelCor and the Operating Partnership which is pari passu with, or subordinated to, the Notes. In order to induce the Initial Purchaser to enter into the Purchase Agreement, the Company has agreed to provide to the Initial Purchaser and their direct and indirect transferees the registration rights with respect to the Notes set forth in this Agreement.
