FOR VALUE RECEIVED, Woodworkers Warehouse, Inc., a corporation organized under the laws of the State of Delaware (the “Borrower”), promises to pay to the order of Porter-Cable Corporation, a Delaware Corporation, (the “Lender”), the principal sum of Two Million dollars ($2,000,000) (the “Principal Sum”), together with interest thereon at the rate hereinafter provided, in accordance with the following:

(the “Borrower”), the financial institutions listed on the signature pages hereof (such financial institutions, together with their respective successors and assigns, are referred to hereinafter each individually as a “Lender” and collectively as the “Lenders”) and Bank of America, N.A. as agent for the Lenders (in its capacity as agent, the “Agent”).

This Forbearance Agreement (“Agreement”) is made as of October 27, 2003, by and among WOODWORKERS WAREHOUSE, INC., a Delaware corporation (the “Borrower”), the financial institutions listed on the signature pages hereof (such financial institutions, together with their respective successors and assigns, are referred to hereinafter each individually as a “Lender” and collectively as the “Lenders”) and BANK OF AMERICA, N.A., a national banking association, as agent for the Lenders (“BA” or, in its capacity as agent, the “Agent”).
