United Refining Company, a corporation organized under the laws of Pennsylvania (the “Company”), proposes to issue and sell to the several initial purchasers named in Schedule I hereto (the “Initial Purchasers”), $365,000,000 principal amount of its 10.500% First Priority Senior Secured Notes Due 2018 (the “Notes”).
