Protective Life Secured is a statutory trust organized under the laws of the State of Delaware (the "Trust"), pursuant to a Trust Agreement, between Wilmington Trust Company, as Delaware trustee (the "Delaware Trustee") and AMACAR Pacific Corp., as administrator and trust series beneficial owner, dated October 31, 2002 (the "Trust Agreement"), to facilitate a program (the "Program"), for the issuance to the public from time to time, of one or more series of notes (each a Series of "Notes"), pursuant to the Indenture (the "Indenture") to be entered into between the Trust and The Bank of New York, as indenture trustee (the "Indenture Trustee"). Each Series of Notes are secured solely by assets relating to the relevant separate series of beneficial interests in the Trust (each separate series of beneficial interests in the Trust is hereinafter referred to as a "Trust Series").
