THIS LIMITED LIABILITY COMPANY AGREEMENT (“Agreement”) relates to the formation and operation of TRUMP ENTERTAINMENT RESORTS DEVELOPMENT COMPANY, LLC, a Delaware limited liability company (the “Company”) formed on , 2005 pursuant to the provisions of the Delaware Limited Liability Company Act (Chapter 18, Title 6 of the Delaware Code) (the “Act”), of which Trump Entertainment Resorts Holdings, L.P., a Delaware limited partnership, is the sole member (the “Member”).
