GS Mortgage Securities Corp. (the “Company”) proposes to cause to be issued Mortgage Pass-Through Certificates, Series 2003-5F (the “Certificates”), pursuant to a Trust Agreement, dated as of May 1, 2003 (the “Trust Agreement”) between the Company, as depositor, and JPMorgan Chase Bank, as trustee (in such capacity, the “Trustee”), and proposes to sell to you (the “Purchaser”) the Certificates specified on Schedule I hereto.
