AGREEMENT dated as of the 25th day of April, 2005 (this "Agreement"), by and between Scantek Medical, Inc. a Delaware corporation (the "Manufacturer") with an address at 4B Wing Drive, Cedar Knolls, New Jersey 07927, and Global Agri-Med Technologies, Inc. a New Jersey corporation (the "Distributor") with an address at 400 Grove Street, Glen Rock, New Jersey 07452.

This Amendment is entered into on this 31st day of July, 2006 by and between Scantek Medical, Inc. (“Scantek”) and Global Agri-Med Technologies, Inc. (“Global”), amending the Exclusive Distribution Agreement between Scantek and Global dated April 25, 2005 (the “Agreement”), upon the following terms and conditions, to wit:

This letter agreement sets forth the mutual understanding of Scantek Medical, Inc. ("Scantek") and Health Technologies International, Inc. ("Licensee") with respect to a certain previously executed license granting the Licensee exclusive use of the BTAI, and improvements thereto, in Chile and Singapore. Since both Scantek and the Licensee deem it in their best interest to extend and modify the License, the License Agreement is hereby amended and it is the mutual understanding of the parties that:
