THIRD SUPPLEMENTAL INDENTURE, dated as of May 17, 2006 (this “Supplemental Indenture”), among United Agri Products, Inc., a Delaware corporation (the “Company”), the Guarantors party hereto and JPMorgan Chase Bank, N.A., as trustee under the Indenture referred to below (the “Trustee”).
