Technical Olympic USA, Inc., a corporation organized under the laws of the State of Delaware (the “Company”), proposes to issue and sell to Citigroup Global Markets Inc. (the “Initial Purchaser”), upon the terms set forth in a purchase agreement, dated December 14, 2004 (the “Purchase Agreement”) relating to the initial placement of the Notes (the “Initial Placement”), $200,000,000 aggregate principal amount of its 7 1/2% Senior Subordinated Notes due 2015 (the “Notes”). The Notes will be unconditionally guaranteed (the “Guarantees” and together with the Notes, the “Securities”) on a senior subordinated unsecured basis by each of the Company’s direct and indirect domestic subsidiaries set forth on the signature page hereto (the “Guarantors”). To induce the Initial Purchaser to enter into the Purchase Agreement and to satisfy a condition of your obligations thereunder, the Company and the Guarantors agree with you for your benefit and the benefit of the holders from time to time of the
