THIS SHAREHOLDERS AGREEMENT (the "Agreement") made as of the 9th day of February, 2005, by and among Shamir Optica Holdings A.C.S. Ltd. Reg. No. 570039115, Upper Galilee 12135, Israel (hereinafter "Shamir"); Fibi Investment House Ltd.
