This Agreement dated September 25, 2015 is by and among Oasis Management Company Ltd. (“Oasis”), JAKKS Pacific, Inc. (the “Company”) and, solely for purposes of Section 8(b), Alexander Azim Shoghi (the “Nominee”). In consideration of and reliance upon the mutual covenants and agreements contained herein, and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties hereto agree as follows:

This Securities Purchase Agreement (this “Agreement”) is made and entered into as of April 5, 2023 (the “Effective Date”) by and among Nam Tai Property Inc., a business company incorporated under the laws of the British Virgin Islands (the “BVI”) (the “Company”), and each of those persons and entities, severally and not jointly, listed as a Purchaser on the Schedule of Purchasers attached as Schedule I hereto (each a “Purchaser” and together the “Purchasers”). Certain terms used and not otherwise defined in the text of this Agreement are defined in Section 9 hereof.

The undersigned acknowledge that each shall be responsible for the timely filing of such amendments, and for the completeness and accuracy of the information concerning him or it contained herein and therein, but shall not be responsible for the completeness and accuracy of the information concerning the others, except to the extent that he or it knows or has reason to believe that such information is inaccurate.
