This Nomination and Support Agreement dated August 22, 2016 (the “Agreement”) is by and among Blue Harbour Group, LP (“Blue Harbour”), Blue Harbour Holdings, LLC (“Blue Harbour GP” and, together with Blue Harbour, the “Blue Harbour Parties”) and Rowan Companies plc (the “Company”).
