This Amended and Restated Operating Agreement is made and entered into as of this 31st day of December, 2000, by and between PetroQuest Energy, L.L.C., a limited liability company organized under the laws of the State of Louisiana (the “Company”) and PetroQuest Energy, Inc., a Delaware corporation, the sole member of the Company (the “Member”) pursuant to the provisions of La.
