SHAREHOLDER RIGHTS PLAN AGREEMENT dated effective as of October 3, 2007 between FARALLON RESOURCES LTD., a corporation incorporated under the Business Corporations Act (British Columbia) (the “Corporation”) and COMPUTERSHARE INVESTOR SERVICES INC., a company existing under the laws of Canada, as rights agent (the “Rights Agent”), which term shall include any successor Rights Agent hereunder).

The undersigned (the “Subscriber”) hereby irrevocably subscribes for and agrees to purchase from Farallon, on terms and conditions set forth in Schedule A attached hereto (together with the first three pages, the “Agreement”), that number of Units (the “Units”) in the capital of Farallon set out on page 2 hereof at a price of Cdn.$0.40 Unit.
