This agreement (the "Agreement"), dated 19 August 2007, contains the terms and conditions upon which Digicurve, Inc. a Nevada corporation (hereinafter referred to as either "Digicurve" or "Buyer" respectively), is proposing to acquire certain assets of S.C. Fightersoft Multimedia SRL, a Romanian corporation, (hereinafter referred to either as "Fightersoft" or "Seller" respectively) and Global Satellite Broadcasting Corporation, a Thailand corporation (hereinafter referenced as "GSBC").
