This Separation Agreement and Release of Claims (“Agreement”) is made by and among Ramanarayan Potarazu (“Executive”), an individual, Intelsat Holdings, Ltd., a Bermuda corporation (“Holdings” or the “Company”), and Intelsat, Ltd., a Bermuda corporation, (together with Holdings, “Intelsat”).

FOURTH SUPPLEMENTAL INDENTURE (this “Fourth Supplemental Indenture”) dated as of December 28, 2005, among Intelsat UK Financial Services Ltd., a company organized under the laws of England and Wales (the “New Guarantor”), Intelsat Subsidiary Holding Company, Ltd., a company organized under the laws of Bermuda (the “Issuer”) and Wells Fargo Bank, National Association, a national banking association, as trustee under the indenture referred to below (the “Trustee”).
