THIS AGREEMENT (this “Agreement”) effective as of the 25th day of November 2009 (the “Effective Date”) by and between Team Health, Inc., a Tennessee corporation (the “Company”), and Stephen Sherlin (“Employee”) as an amendment and restatement of the employment agreement between the parties dated as of June 1, 2006 (the “Commencement Date”) (the “Prior Agreement”), which Prior Agreement amended and restated the employment agreement between the parties dated March 11,1999 (the “Original Agreement”).

This AMENDMENT NO. 1 (the “Amendment”), dated as of October 12, 2009, to the Amended and Restated Limited Liability Company Agreement (the “LLC Agreement”) of Team Health Holdings, L.L.C. (the “Company”), a Delaware limited liability company, dated as of November 22, 2005, entered into by and among the Members (as such term is defined in the LLC Agreement). Capitalized terms used but not defined herein shall have the meaning set forth in the LLC Agreement.
