This Exchange Agent & Depositary Agreement (this "Agreement") is entered into as of this day of 2007 by and between Aventine Renewable Energy Holdings, Inc., a Delaware corporation (the "Company"), and Wells Fargo Bank, N.A., a national banking association having its principal corporate trust offices in Minneapolis, Minnesota (hereinafter referred to from time to time as "Wells Fargo").
