(collectively with the with the Co-Lead Underwriters, the “Underwriters”) understand that New Pacific Metals Corp., a company organized under the laws of the Province of British Columbia (the “Company”), proposes to issue and sell an aggregate of 13,208,000 common shares of the Company (the “Firm Shares”) to the Underwriters. The Underwriters hereby offer to purchase from the Company all but not less than all of the Firm Shares on a “bought deal” basis, at the purchase price of $2.65 per share (the “Purchase Price”) for aggregate gross proceeds of C$35,001,200.
