Financial Asset Securities Corp., a Delaware corporation (the “Company”), proposes to sell, and Greenwich Capital Markets, Inc. (“GCM”) and Wachovia Capital Markets, LLC (together, the “Underwriters”) propose to purchase, the aggregate principal amount (or notional amount, as applicable) of the Soundview Home Loan Trust 2006-3 Asset-Backed Certificates, Class A-1, Class A-2, Class A-3, Class A-4, Class M-1, Class M-2, Class M-3, Class M-4, Class M-5, Class M-6, Class M-7, Class M-8 and Class M-9 Certificates (the “Offered Certificates”) set forth opposite its name on Schedule I hereto. Only the Offered Certificates are being purchased by the Underwriters hereunder. Pursuant to this Subsequent Transfer Instrument, dated September 14, 2006 (the “Instrument”), between Financial Asset Securities Corp. as seller (the “Depositor”), and Deutsche Bank National Trust Company as trustee of the Soundview Home Loan Trust 2006-3, Asset-Backed Certificates, Series 2006-3, as purchaser (the “Trustee”), and pursuant to the Pooling and Servicing Agreement, dated as of August 1, 2006 (the “Pooling and Servicing Agreement”), among the Depositor, Wells Fargo Bank, N.A. as master servicer, servicer and trust administrator (the “Master Servicer”, “Servicer” and “Trust Administrator”), and the Trustee, agree to the sale by the Depositor and the purchase by the Trustee in trust, on behalf of the Trust, of the Mortgage Loans listed on the attached Schedule of Mortgage Loans (the “Subsequent Mortgage Loans”).
