This AGREEMENT AND PLAN OF MERGER (this “Agreement”), dated as of October 8, 2008, is entered into between Northport Capital Inc., a company incorporated in the State of Colorado (the “Company”), and Northport Network Systems, Inc., a Washington corporation and a wholly-owned subsidiary of the Company (“Northport Washington”).
