CREDIT AGREEMENT dated as of April 20, 2007 among CROWLEY MARITIME CORPORATION, a Delaware corporation, as borrower (the “Borrower”), the banks, financial institutions and other institutional lenders (the “Initial Lenders”) listed on the signature pages hereof, CITIBANK, N.A. (“Citibank”), as issuing bank (the “Issuing Bank”), CITICORP USA, INC.
