This Agreement is being entered into by the Parties under National Policy 46-201 Escrow for Initial Public Offerings (the "Policy") in connection with a reverse take-over of the Issuer (the "RTO"). The RTO means the Issuer is subject to escrow pursuant to the policies and produces manual of the Canadian Securities Exchange (the "CSE") and is deemed an "emerging issuer" as outlined in Section 2.2 below. All references to "IPO" in this escrow agreement (the "Agreement") shall be read as referring to the RTO as the context requires.
