Employment Agreement, between Simple Tech Inc. (the "Company") and David Greenbaum (the "Employee"). 1. For good consideration, the Company employs the Employee on the following terms and conditions. 2. Term of Employment. Subject to the provisions for termination set forth below this agreement will begin on August 1, 2009, unless sooner terminated. 3. Salary. The Company shall pay Employee a salary of $72,000 per year, for the services of the Employee, payable at regular payroll periods. Employee will also be granted 100,000 stock options with an exercise price of $1.25 per share, that vest equally over 3 years, with the first third deemed to be vested on signing. 4.
