Financial Asset Securities Corp., a Delaware corporation (the “Company”), proposes to sell, and Greenwich Capital Markets, Inc. (“GCM”) (the “Underwriter”) proposes to purchase, the aggregate principal amount (or notional amount, as applicable) of the Soundview Home Loan Trust 2007-OPT5, Asset-Backed Certificates, Class I-A-1, Class II-A-1, Class II-A-2, Class II-A-3, Class X-1, Class X-2 and Class X-3 Certificates (the “Offered Certificates”) set forth opposite its name on Schedule I hereto. Only the Offered Certificates are being purchased by the Underwriter hereunder.
