THIS WARRANT AND THE COMMON SHARES ISSUABLE UPON EXERCISE OF THIS WARRANT MAY NOT BE SOLD, OR OTHERWISE TRANSFERRED, ASSIGNED, PLEDGED OR HYPOTHECATED IN THE ABSENCE OF AN EFFECTIVE REGISTRATION STATEMENT UNDER THE ACT OR AN OPINION OF COUNSEL REASONABLY SATISFACTORY TO SUBAYE.COM, INC. THAT SUCH REGISTRATION IS NOT REQUIRED.

We, SUBAYE.COM, INC. of 9/F.Beijing Business World, 56 Dongxinglong Avenue, CW District, Beijing 100062, China (the “Company”), hereby agree to retain J. CRANE & COMPANY, P.C. (the “Firm”), in connection with the provision of accounting and SEC accounting-related compliance services.
