THIS EMPLOYMENT AGREEMENT is entered into on April 14, 2014 by and between Universal Solar Technology, Inc. (“Company”), a Nevada corporation having its principal place of business at No. 1 Pingbei Road 2, Nanping Science & Technology Industrial Park, Zhuhai City, Guangdong Province, The People’s Republic of China and Weilei Lv, an Chinese citizen (“Executive”), with reference to the following facts:

In order to attract talented people and promising enterprises, the People's Government of Fangcheng County decided to enhance the development of polysilicon industry by helping Nanyang Universal Solar Technology Co., Ltd. to launch its solar panel project. Both parties have made agreement that Nanyang Universal Solar Technology Co., Ltd. would purchase 71280 ㎡ of land locating at Houlin Village, Erlangmiao Town.

THIS DEVELOPMENT AGREEMENT (“Agreement”) is entered into and effective as of this 29th day of April 2008, by and between Kuong U Science & Technology (Group) Ltd. (hereinafter referred to as “Party A”), a corporation organized and existing under the laws of Macau, and having its principal office at No. 1 Pingbei Road 2, Nanping Science & Technology Industrial Park, Zhuhai City, Guangdong Province, China and Zhuhai Yuemao Laser Facility Engineering Co., Ltd. (hereinafter referred to as “Party B”), a Chinese company organized under the laws of the People’s Republic of China (“PRC”) and having its registered office at No.1 Pingbei Road 2, Nanping Science & Technology Industrial Park, Zhuhai City, Guangdong Province, China. Party A and Party B are each referred to herein as a “Party” and collectively as the “Parties.”

Party A applied for loans from Party B. Party B examined Party A’s loan applications and agreed to provide monetary resources in terms of loans to Party A. The purpose of this agreement is to clarify rights, obligations for both parties under the law and consensus.
