THIS WARRANT AND THE COMMON SHARES ISSUABLE UPON EXERCISE OF THIS WARRANT MAY NOT BE SOLD, OFFERED FOR SALE, PLEDGED OR HYPOTHECATED IN THE ABSENCE OF AN EFFECTIVE REGISTRATION STATEMENT AS TO THIS WARRANT UNDER SAID ACT AND APPLICABLE STATE SECURITIES LAWS OR AN OPINION OF COUNSEL REASONABLY SATISFACTORY TO TW SSPORTS, INC., THAT SUCH REGISTRATION IS NOT REQUIRED.

This Personal Services Agreement (the “Agreement”) is entered into this May 2, 2008, by and between TW Sports, Inc., a Delaware corporation (the “Company”) with its principal place of business at 2620 Regatta Drive, Ste 102, Las Vegas, Nevada 89128 and Tom Olmstead, (“Executive”) to be effective as of June 1, 2007 (the “Effective Date”).

In the Agreement, the Party who is granting the right to use the licensed property will be referred to as “Olmstead”, and the party who is receiving the right to use the license property will be referred to as “TW Sports”.
