In consideration of DH Technologies Development PTE Ltd. (“Buyer”) entering into the Stock and Asset Purchase Agreement dated the date hereof with MDS Inc. (the “Company”) and other parties thereto, a copy of which is attached as Schedule A to this Agreement (the “Transaction Agreement”), pursuant to which the Buyer will acquire certain assets and assume certain liabilities from the Company and certain Affiliates of the Company on terms and conditions set forth in the Transaction Agreement, this support agreement (the “Agreement”) sets out the terms on which the Shareholder undertakes to support the Transaction (defined below) and to take certain actions and do certain things in respect of the Transaction.
