THIS VOTING AGREEMENT (this “Agreement”) is entered into as of June 30, 2022, by and among the investors listed on Schedule A hereto (each, an “Investor”, and collectively, the “Investors”), Ensysce Biosciences, Inc., a Delaware corporation (the “Company”), and the stockholders of the Company listed on Schedule B hereto (each, a “Stockholder”, and collectively, including on behalf of affiliated entities and/or one or more funds or accounts managed by a Stockholder the “Stockholders”). Capitalized terms used herein but not otherwise defined shall have the meaning given to them in the Purchase Agreement (as defined below).

The persons below hereby agree that the Schedule 13D to which this agreement is attached as an exhibit, as well as all future amendments to such Schedule 13D, shall be filed jointly on behalf of each of them. This agreement is intended to satisfy the requirements of Rule 13d-1(k)(1)(iii) under the Securities Exchange Act of 1934.
